RŪFPLUS TOTAL CARE CLUB MEMBERSHIP AGREEMENT

Effective as of August 1, 2024

This Membership Agreement (the “Agreement”) is made and entered into as of the date the Member enrolls in the membership (the “Effective Date”) by and between RūfPlus LLC, a Kansas Limited Liability Company, with its principal place of business at 10000 Marshal Dr, Lenexa, KS 66215 (the “Company”), and the individual or entity subscribing to this Agreement (the “Member”).

By enrolling in the RūfPlus Total Care Club, providing payment information, and clicking “I Accept” (or equivalent digital acceptance), the Member agrees to be bound by the terms and conditions set forth below.

1. Membership Term and Renewal

1.1. Initial Term: The initial term of this Agreement is twelve (12) consecutive months from the Effective Date (the “Initial Term”). The Member acknowledges that the pricing and benefits afforded under this plan are contingent upon this twelve-month commitment.
1.2. Automatic Renewal: Following the Initial Term, this Agreement shall automatically renew on a month-to-month basis until terminated by either party in accordance with Section 5 (Termination).

2. Fees and Payment

2.1. Membership Fees: The Member agrees to pay a monthly membership fee of $39.99 (or an optional single annual prepayment of $429.00).
2.2. Payment Authorization: Member authorizes the Company to automatically charge the provided credit card or payment method on a recurring monthly basis for the duration of the membership.
2.3. Price Lock Guarantee: RūfPlus guarantees that the Member’s monthly membership rate stated in Section 2.1 will not increase for as long as the Member maintains continuous, uninterrupted membership. If membership lapses for any reason, re-enrollment will be subject to current market rates.

3. Membership Services and Benefits

During the Membership Term, the Member is entitled to the following services and perks for the registered property address only.

3.1. Included Annual Maintenance Services (Once Per 12-Month Cycle): The Company will perform one (1) proactive Roof Tune-Up and Inspection per year, which includes:

  • 360° Roof Assessment: A visual and tactile inspection of the roof system, flashings, and ventilation.
  • Proactive Sealing: Application of professional-grade sealant to exposed nail heads, pipe boots, and accessible flashing collars (up to 2 tubes of sealant included; additional materials may incur costs).
  • Debris Management: Clearing of light debris accumulation from valleys and critical gutter troughs to ensure water flow. (Does not include full whole-home gutter cleaning unless specified in a separate agreement).
  • Health Report: Delivery of a photo-documented report outlining the roof’s condition and services performed.

The parties acknowledge that the standard retail value of these Annual Maintenance Services is approximately $599.00.

3.2. Member Perks:

  • Priority Triage Scheduling: Following major storm events, Members receive priority scheduling for inspections ahead of non-members.
  • Repair Discount: A 15% discount on labor and materials for any roof repairs performed by RūfPlus that are outside the scope of the Included Annual Maintenance Services.
  • Waived Dispatch Fees: RūfPlus will waive standard trip charges or dispatch fees for calls regarding roof concerns during the membership term.

3.3. Exclusions (Crucial): This Agreement is for maintenance only. It is not an insurance policy, a warranty against future leaks, or a contract for major repairs or replacement. Services explicitly excluded from the monthly fee include, but are not limited to: Repair of storm damage (hail, wind, tree impact); replacement of shingles, decking, or structural components; full gutter cleaning; or repairs necessitated by pre-existing conditions documented at the time of enrollment.

4. Member Obligations

Member agrees to provide safe access to the property for Company personnel to perform services. Member agrees to ensure the registered payment method remains valid and active throughout the Initial Term and any renewal periods.

5. Early Termination and Value Recovery

The Member acknowledges that the Company provides services with significant retail value upfront or early in the membership cycle in reliance on the Member’s 12-month commitment.

5.1. Termination by Member After Initial Term: After the Initial Term has been completed, Member may cancel on a month-to-month basis with 30 days written notice via email to angel@rufplus.com.

5.2. Early Termination During Initial Term: If the Member chooses to terminate this Agreement prior to the completion of the 12-month Initial Term, the Member agrees to pay an Early Termination Value Recovery Fee. This fee ensures the Company is compensated for the retail value of services already rendered.

The Early Termination Fee shall be calculated as: The full standard retail value of Annual Maintenance Services already rendered during the current term (stated value: $599.00), MINUS the total dollar amount of subscription payments the Member has already made during that term.

Example: If a Member receives their $599 tune-up in Month 1 and cancels in Month 3 having paid only $117 in fees ($39 x 3), the Member owes an Early Termination Fee of $482 ($599 – $117).

This fee will be automatically charged to the payment method on file upon notice of early cancellation.

6. Limitation of Liability and Warranty Disclaimer

6.1. Nature of Service: The Company agrees to perform services in a workmanlike manner using industry-standard materials. The Member understands that roof maintenance is designed to extend the life of the roof and prevent common issues, but it does not guarantee that leaks or damage will never occur, especially during severe weather events.
6.2. Liability Cap: To the maximum extent permitted by applicable law, the Company’s total liability arising out of or in connection with this Agreement shall not exceed the total amount of membership fees paid by the Member during the 12 months preceding the claim. The Company shall not be liable for indirect, incidental, special, or consequential damages, including internal water damage or mold.

7. Dispute Resolution and Governing Law

7.1. Mediation: Prior to initiating arbitration or court proceedings, the parties agree to attempt to resolve any dispute arising out of this Agreement through good-faith mediation conducted in Olathe, KS. The parties shall equally share the mediator’s costs.
7.2. Arbitration: If mediation is unsuccessful within 30 days, any remaining dispute shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (“AAA”). The arbitration shall take place in Olathe, KS. The award of the arbitrator shall be final and binding.
7.3. Governing Law: This Agreement shall be governed by the laws of the State of Kansas.

8. General Provisions

8.1. Force Majeure: The Company shall not be liable for failure or delay in performance due to causes beyond its reasonable control, including acts of God, severe weather preventing safe roof access, pandemic, or material shortages.
8.2. Amendments: The Company may modify the terms of this Agreement (excluding the Price Lock Guarantee in Section 2.3) by providing 30 days written notice to the Member. Continued use of the service constitutes acceptance of the changes.
8.3. Severability and Entire Agreement: If any provision of this Agreement is held invalid, the remaining provisions shall continue in full force. This Agreement constitutes the entire understanding between the parties regarding the subject matter herein.
